Terms of Service

Please read these Terms of Service carefully before using Synap Editor. By accessing or using the Site or the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

These Terms of Service (“Terms”) govern your access to and use of Synap Editor and related websites, documentation, and services (collectively, the “Service”) provided by Synapsoft Corp. (“Synapsoft,” “we,” “us,” or “our”). “You” refers to the individual or entity using the Service.

1. Accounts and Eligibility

To use most features of the Service, you must register for an account and provide accurate, current information. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must be at least 13 years old, or the age of legal majority in your jurisdiction if higher, to create an account. If you are registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. License Grant and Restrictions

Subject to your compliance with these Terms and payment of applicable fees, Synapsoft grants you a limited, non-exclusive, non-transferable, non-sublicensable license to integrate and use Synap Editor within your application(s), in accordance with the plan you have subscribed to.

You may not, and may not permit others to:

  • sublicense, resell, rent, or lease the Service to a third party as a standalone product;
  • reverse engineer, decompile, or attempt to extract the source code of the Service, except where such restriction is prohibited by applicable law;
  • remove or obscure any proprietary notices, including the “Powered by Synapsoft” attribution on the Free plan;
  • use the Service to build a competing rich text editor product or component;
  • exceed the domain, load, or usage scope of your subscribed plan without upgrading or obtaining written consent.

3. Plans, Editor Loads, and Overages

The Service is offered under multiple subscription plans (Free, Essential, Professional, and Enterprise), each with a defined monthly editor load allowance and feature scope, as described on our Pricing page. An “editor load” is counted each time an instance of Synap Editor is initialized within your application, as further defined in our documentation.

If your usage exceeds your plan’s monthly load allowance, overage charges will apply at the rate specified on the Pricing page at the time of overage, and will be billed in your next billing cycle. Enterprise plan terms, including custom load allowances and domain scope, are governed by a separate order form or agreement where applicable.

4. Payment and Billing

Paid subscriptions are sold through Paddle.com Market Limited (“Paddle”), our authorized reseller. Paddle acts as the Merchant of Record for all purchases made on the Site, which means Paddle is the seller of record to you, and is responsible for processing your payment, issuing invoices and receipts, calculating and remitting applicable sales tax or VAT, and handling refunds and chargebacks in accordance with Paddle’s own terms.

  • Contractual relationship. When you purchase a subscription, you enter into a transaction with Paddle as the seller, in addition to your agreement with Synapsoft for use of the Service under these Terms. Paddle’s Buyer Terms govern the purchase transaction itself.
  • Billing and invoices. Paddle will appear as the merchant on your payment statement and will issue your invoice or receipt. Pricing displayed on our Pricing page may be exclusive of tax; applicable sales tax or VAT will be calculated and added by Paddle at checkout based on your billing location.
  • Automatic renewal. Subscriptions renew automatically at the end of each billing cycle unless cancelled prior to the renewal date. You may cancel at any time through your account settings or Paddle’s customer portal; cancellation takes effect at the end of the current billing period.
  • Price changes. We may change subscription pricing with at least 30 days’ notice. Continued use of the Service after a price change takes effect constitutes acceptance of the new pricing.
  • Refunds. Refund requests are handled by Paddle in accordance with our Refund Policy and Paddle’s standard refund procedures. Except as required by applicable law or expressly stated in a launch promotion, fees are non-refundable, including for partial billing periods.

5. Free Trial and Free Plan

We may offer a free trial of paid features or a perpetual Free plan with a limited monthly editor load allowance, as described on our Pricing page. We reserve the right to modify, limit, or discontinue free offerings at any time, with reasonable notice where practicable. The “Powered by Synapsoft” attribution displayed on the Free plan may not be removed or hidden.

6. Intellectual Property

The Service, including its software, documentation, design, and trademarks, is the property of Synapsoft and its licensors and is protected by copyright, trademark, and other intellectual property laws. Except for the limited license granted in Section 2, nothing in these Terms transfers any ownership rights to you. “Synapsoft,” “Synap Editor,” and associated logos are trademarks of Synapsoft Corp. and may not be used without prior written permission.

7. Your Content

“Your Content” means any text, files, images, or other data that you or your end users create, upload, or edit using the Service. As between you and Synapsoft, you retain all rights to Your Content. Synap Editor operates primarily as a client-side component; we do not access, store, or claim ownership of Your Content, except where you explicitly use optional server-side features (such as collaboration, import/export, or AI integration services) that require transmission of Your Content to perform the requested function, in which case Your Content is processed solely for that purpose.

You are solely responsible for Your Content and for ensuring you have all necessary rights and consents to use, upload, and process it through the Service.

8. Acceptable Use

You agree not to use the Service to:

  • violate any applicable law or regulation;
  • infringe the intellectual property, privacy, or other rights of any third party;
  • transmit malware, or attempt to gain unauthorized access to our systems or those of other users;
  • interfere with or disrupt the integrity or performance of the Service;
  • create, store, or distribute content that is unlawful, defamatory, obscene, or that promotes violence or discrimination.

We reserve the right to suspend or terminate access for any account found to violate this section.

9. Third-Party Services and Integrations

The Service may allow integration with third-party services, including cloud storage providers, collaboration infrastructure you self-host, and AI providers. Your use of any third-party service is governed by that provider’s own terms and privacy policy, and Synapsoft is not responsible for the practices or performance of third-party services.

10. AI Features

Synap Editor provides an optional AI integration layer that allows you to connect your own account with a third-party AI provider of your choice (such as OpenAI, Google Gemini, or Qwen). When you use this feature:

  • you contract directly with the AI provider you select, and are responsible for complying with that provider’s terms of service and acceptable use policies;
  • prompts, document content, and any data submitted to the AI provider through this feature are transmitted directly between your environment and the AI provider, and Synapsoft does not store, log, or process the content of those requests;
  • Synapsoft is not responsible for the accuracy, output, availability, or data handling practices of any third-party AI provider;
  • any fees charged by the AI provider for API usage are billed directly by that provider and are not part of your Synap Editor subscription fees.

11. Term, Suspension, and Termination

These Terms remain in effect while you use the Service. We may suspend or terminate your access immediately if you breach these Terms, fail to pay applicable fees, or where required by law. You may terminate your account at any time by canceling your subscription through your account settings or by contacting us. Upon termination, your right to use the Service ceases, and we may delete your account data in accordance with our Privacy Policy, subject to legally required retention periods.

12. Disclaimer of Warranties

The service is provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation, to the fullest extent permitted by applicable law.

13. Limitation of Liability

To the fullest extent permitted by applicable law, Synapsoft shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Synapsoft’s total aggregate liability under these Terms shall not exceed the fees paid by you to Synapsoft in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be excluded or limited under applicable law.

14. Indemnification

You agree to indemnify and hold Synapsoft harmless from any claims, damages, or expenses (including reasonable legal fees) arising from your breach of these Terms, your use of the Service, or Your Content, except to the extent caused by Synapsoft’s breach of these Terms.

15. Changes to the Service or Terms

We may modify the Service, including adding or removing features, at any time. We may also update these Terms from time to time by posting the revised version on the Site. Changes take effect immediately upon posting, unless otherwise stated. Your continued use of the Service after any changes take effect constitutes acceptance of the revised Terms. We encourage you to review this page periodically.

16. Governing Law and Disputes

These Terms are governed by the laws of the Republic of Korea, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the Seoul Central District Court of the Republic of Korea as the court of first instance.

17. General Provisions

  • Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Synapsoft regarding the Service.
  • Severability. If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.
  • No waiver. Our failure to enforce any provision of these Terms shall not be deemed a waiver of that provision.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party shall be liable for delays or failures caused by events beyond its reasonable control.
